Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at getfulcra.ai (the "Site") and the Fulcra AI application platform (the "Platform"), operated by Hilo Labs Limited ("Hilo Labs", "we", "us", or "our"), which offers the Fulcra AI product. We refer to the Site and the Platform together as the "Services". By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

Scope

These Terms apply to the public marketing Site (including our "Book a demo" and "Learn more" contact flows) and to the Platform. Where a customer accesses the Platform under a separate written agreement (for example, a master services agreement, order form, or data processing agreement) between Hilo Labs and that customer, that agreement governs the commercial and data terms of the customer's use and controls in the event of any conflict with these Terms. These Terms supplement, and do not replace, any such agreement.

Platform accounts and access

Access to the Platform requires an account and is limited to authorized users of a customer. You are responsible for keeping your login credentials confidential, for all activity that occurs under your account, and for ensuring that your use complies with these Terms and your organization's agreement with us. Notify us promptly at support@hilolabs.com if you suspect any unauthorized use of your account.

Acceptable use

You may use the Services for lawful purposes only. You agree not to:

• Use the Services in any way that violates applicable law or regulation, or infringes the rights of others;
• Attempt to gain unauthorized access to the Services, other users' accounts or data, our servers, or any connected systems;
• Interfere with or disrupt the operation, security, integrity, or availability of the Services;
• Use automated means to scrape, harvest, or collect information from the Site except as permitted by our robots.txt, or from the Platform except through features we make available;
• Upload or process content you do not have the right to provide, or that contains malware or unlawful material; or
• Misrepresent your identity or affiliation in any communication with us or through the Services.

Customer Content

You and your organization retain ownership of the documents, deal data, and other materials uploaded into the Platform ("Customer Content"). You grant Hilo Labs the rights necessary to host, process, and analyze Customer Content in order to provide the Platform, and you represent that you have the rights and permissions needed to upload and process that content. Hilo Labs processes Customer Content on the customer's behalf and in accordance with the customer's written agreement (including any data processing agreement) and our Privacy Policy.

Intellectual property

The Services and their contents, including the software, text, graphics, logos, and the Fulcra AI and Hilo Labs names and marks, are owned by or licensed to Hilo Labs and are protected by intellectual property laws. This does not include Customer Content, which remains owned by you or your organization. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own informational and business purposes and to use the Platform in accordance with these Terms and your organization's agreement with us. You may not copy, reproduce, distribute, create derivative works from, reverse engineer, or resell any part of the Services without our prior written permission.

Demos and communications

When you request a demo or submit your email through the Site, you consent to us contacting you about Fulcra AI. Scheduling is handled by a third-party tool (Calendly), subject to its own terms. Any information you provide is handled as described in our Privacy Policy.

No professional advice

Content on the Site, and any analysis, findings, summaries, or other output generated by the Platform, are provided for general informational purposes only. They do not constitute financial, legal, investment, tax, or other professional advice, and should not be relied upon as such. The Platform uses automated and AI-based processing, which may produce incomplete or inaccurate results; you are responsible for reviewing and independently verifying any output before relying on it. Any due diligence outcomes described are illustrative and do not guarantee any particular result.

Third-party links and services

The Services may link to or integrate with third-party websites and services that we do not control. We are not responsible for the content, policies, or practices of those third parties, and providing a link or integration does not imply endorsement.

Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any output produced by the Platform will be accurate or complete. This section applies except to the extent a customer's separate written agreement provides otherwise.

Limitation of liability

To the fullest extent permitted by law, Hilo Labs and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages. Where a customer has a separate written agreement with us, the liability terms of that agreement govern that customer's use of the Platform.

Indemnification

You agree to indemnify and hold harmless Hilo Labs and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services or your violation of these Terms.

Changes to the Services and these Terms

We may modify or discontinue the Services, or update these Terms, at any time. When we update these Terms, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
